Terms of Service

1. Definitions

• "Platform" means the Odision trade intelligence software and services at odision.io and any associated APIs.
• "Odision", "we", "us", "our" means Odision Moatly Intelligence (OPC) Private Limited.
• "User", "you", "your" means any individual or entity that accesses or uses the Platform.
• "Subscription" means the paid plan (Essential, Professional, or Enterprise) granting access to Platform features.
• "Content" means all data, information, results, reports, and outputs generated or displayed by the Platform.
• "AI Features" means any artificial intelligence or automated processing features of the Platform.

2. Eligibility and Account Registration

You must be at least 18 years of age to use the Platform. You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion without notice if we believe the account is being used in violation of these Terms or applicable law.

3. Subscriptions and Access

Access to premium features requires a paid Subscription. Upon cancellation or expiry, access to premium features will be terminated immediately with no grace period. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

4. Acceptable Use

You agree NOT to:

• Use the Platform to facilitate evasion of trade sanctions, export controls, or embargo regulations imposed by any government or international body
• Use the Platform to assist in money laundering, financing of terrorism, or other financial crimes
• Access the Platform if you are on, or acting on behalf of any entity on, the OFAC SDN list, the UN Security Council Consolidated List, or any applicable sanctions list
• Access the Platform if you are located in any country subject to comprehensive trade sanctions
• Attempt to gain unauthorised access to any part of the Platform, its servers, or databases
• Reverse engineer, decompile, or attempt to derive the source code of the Platform
• Scrape or use automated tools to extract data without our express written permission
• Use the Platform to develop a competing product or service
• Introduce malware or other harmful code into the Platform
• Share your account credentials with any third party
• Use the Platform in any manner that violates applicable law

Violation of these restrictions may result in immediate account termination and may expose you to civil and criminal liability.

5. Intellectual Property

The Platform, including all software, algorithms, databases, methodologies, and visual design, is owned by Odision and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your internal business purposes during your Subscription.

6. Data Accuracy and Disclaimer

THE PLATFORM PROVIDES TRADE INTELLIGENCE FOR INFORMATIONAL PURPOSES ONLY. IT IS NOT INTENDED TO CONSTITUTE LEGAL, FINANCIAL, TAX, CUSTOMS, OR COMPLIANCE ADVICE.

Trade data may be incomplete, delayed, or subject to revision. AI Feature outputs may contain errors, omissions, or biases inherent in automated systems. You must verify all information with qualified professionals and official government sources before making any business decision.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• ODISION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
• ODISION'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM
• ODISION IS NOT LIABLE FOR ANY DAMAGES ARISING FROM RELIANCE ON PLATFORM DATA, AI FEATURE OUTPUTS, OR ANY PLATFORM CONTENT
• ODISION IS NOT LIABLE FOR FAILURE OR DELAY CAUSED BY CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL

8. Indemnification

You agree to indemnify and hold harmless Odision and Odision Moatly Intelligence (OPC) Private Limited from any claims, damages, losses, and expenses arising out of: your violation of these Terms; your violation of applicable law; your infringement of third-party rights; or any trade decision you make based on Platform data or AI Feature outputs.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED OPERATION.

10. Third-Party Services

The Platform integrates with third-party services for payment processing, AI functionality, vessel tracking, email delivery, and SMS delivery. These third parties have their own terms and policies. We are not responsible for the availability, accuracy, or practices of any third-party service. We are not responsible for payment processing errors, delays, or failures caused by third-party providers.

11. Termination

You may terminate your account at any time by contacting support@odision.io. We may suspend or terminate your account immediately without notice for breach of these Terms, fraudulent use, or as required by law. No refund will be issued upon termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. If you are a consumer located outside India, you may also have rights under the mandatory laws of your country of residence. Any disputes shall be subject to the jurisdiction of the courts of Chennai, Tamil Nadu, India, unless otherwise required by applicable consumer protection laws.

Before initiating legal proceedings, you agree to first contact support@odision.io to attempt resolution within 30 days.

13. General Provisions

• Entire Agreement: these Terms, together with our Privacy Policy and Payment Policy, constitute the entire agreement between you and Odision, unless superseded by a separate Enterprise agreement
• Severability: if any provision is found unenforceable, the remaining provisions remain in full force
• Waiver: our failure to enforce any right does not constitute a waiver
• Assignment: we may assign these Terms without consent; you may not assign without our prior written consent
• Updates: we may modify these Terms with notice; continued use constitutes acceptance
• Enterprise agreements may override these Terms where explicitly agreed in writing

14. Service Levels

No specific uptime, availability, or support service levels are guaranteed for standard users of the Platform. Service level commitments, including uptime guarantees and dedicated support response times, are provided only under separate agreements with Enterprise customers.

15. Accessibility and Fair Use

We are committed to providing a platform that is accessible and usable to a broad range of users. We do not discriminate against users for exercising their legal rights or based on any protected characteristic under applicable law.
